II. BIZBANDHU.COM ONLY PROVIDES A PLATFORM FOR INTERACTION

BizBandhu is an online portal that facilitates communication between legal professionals and individuals seeking legal services. BizBandhu serves as a platform for providers and consumers of legal services to exchange information with the aim of establishing a professional relationship. However, BizBandhu cannot guarantee that users will successfully find an advocate/lawyer/attorney through this system. BizBandhu does not take a position or provide an opinion on the formation of a lawyer-client relationship or when it occurs.

To provide an optimal platform for lawyers and clients, BizBandhu does not involve itself in the agreements or actual representation between lawyers and clients. Therefore, we cannot ensure the completion of the agreement or the integrity of either party. It is the user’s responsibility to assess the integrity, honesty, and trustworthiness of all individuals they communicate with on this service, and not BizBandhu.

(a) Disclaimer of lawyer-client relationship

BizBandhu is not an agent of lawyers. It simply facilitates communication between lawyers and potential clients. Sending electronic communication solely to BizBandhu does not establish a lawyer-client relationship between the user and BizBandhu.

(b) BizBandhu does not endorse any User

BizBandhu aims to help every person in need find lawyers that suit their requirements. BizBandhu is not intended as a source of advertising or solicitation, and the content on the website should not be considered legal advice. BizBandhu may recommend subscribing lawyers if they match a user’s requirements, but not otherwise. Transmission, receipt, or use of BizBandhu does not create a lawyer-client relationship. Users should independently study lawyer profiles and make informed choices.

(c) Specifically, BizBandhu does not facilitate solicitation

BizBandhu hides client information from lawyers until clients directly or online communicate with them. Lawyers are not allowed to view private information about potential clients.

(d) BizBandhu does not provide Legal Advice

BizBandhu’s “Common Needs” feature uses user-supplied content to generate basic documents. The information provided in the “FAQs” section does not constitute legal advice; it merely addresses common queries about document creation. Users should consult lawyers for specialized guidance on these documents.

(e) ‘Common Needs’ – Resale of Forms Prohibited

When you purchase a document from BizBandhu, you agree that the document may only be used by you personally or for your business purposes, or in connection with your client. Selling or redistributing the document without the express written consent of BizBandhu is strictly prohibited and may result in a violation of our exclusive copyright, leading to legal action.

(f) Disclaimer of representations by users

BizBandhu does not make any representations, guarantees, or warranties (express or implied) regarding the legal ability, competence, or quality of representation provided by the lawyers or law firms listed on our site or any affiliate thereof.

Lawyers subscribing to this service should refrain from requesting specific or confidential information from users through the service. BizBandhu is not responsible for the release or improper use of such information by users, or any release resulting from errors or failures in the system.

VII. Indemnification

The user agrees that BizBandhu is not liable for any harm that may arise from their use of this service. The user agrees to indemnify, defend, and hold BizBandhu harmless from any liability and costs incurred due to losses, liabilities, claims, demands, damages, or expenses arising from the use or content of the service. This defense and indemnity also apply to any breach of the agreement or the representations, warranties, and covenants therein. The user agrees that this defense and indemnity include lawyer fees and costs and apply to BizBandhu, its founders, officers, and employees. BizBandhu reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by the user, and the user shall not settle any matter without written consent from BizBandhu.

VIII. Communications and Other Data

BizBandhu is not responsible for any data loss resulting from accidental or deliberate deletion, network or system outages, backup failures, file corruption, or any other reasons.

IX. License of Your Content to BizBandhu

By uploading content to or submitting any materials for use on BizBandhu, you grant BizBandhu a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and distribute such materials. BizBandhu assures that any sensitive information will not be intentionally disclosed to third parties.

X. BizBandhu Proprietary Rights

Except as explicitly provided in these terms and conditions, nothing herein confers any license or right, whether by implication, estoppel, or otherwise, under copyright or other intellectual property rights. XI. Linking to BizBandhu.com

Users are permitted to provide links to the homepage of BizBandhu, as long as they do not remove or obscure any portion of the homepage. Framing or any other means of obscuring the homepage is also not allowed. If requested by BizBandhu, users must discontinue providing links to the site.

XII. Advertisers

BizBandhu may display advertising and sponsorship on its platform. Advertisers and sponsors are responsible for ensuring the accuracy and compliance of the material they submit for inclusion on BizBandhu. BizBandhu will not be held responsible for any illegal content or inaccuracies in the materials provided by advertisers or sponsors.

XIII. Registration

Certain sections of BizBandhu may require users to register. If registration is necessary, users agree to provide accurate and complete registration information. It is the user’s responsibility to inform BizBandhu of any changes to their information. Each registration is for a single person unless otherwise specified. If necessary, BizBandhu may take appropriate action, including reporting suspected unlawful activity to law enforcement officials, regulators, or other third parties. BizBandhu may also disclose any information necessary or appropriate to such persons or entities, including user profiles, email addresses, usage history, posted materials, IP addresses, and traffic information.

XVII. Remedies for Violations

BizBandhu reserves the right to seek all available remedies in law and equity for violations of the Agreement. This includes the right to block access from a particular internet address to BizBandhu and its features.

XVIII. Conflicts Checks

Users understand that registered lawyers will not conduct conflict checks before responding to a request. Users must provide their name, contact information, and other required information for conflict checks. Conflict checks cannot be performed solely based on user submissions through this service.

XIX. Severability of Provisions

If any provision of these terms and conditions is unlawful, void, or unenforceable, it will be deemed severable from the remaining provisions. The validity and enforceability of the remaining provisions will not be affected.

XX. Modifications to Terms of Use

BizBandhu may change the agreement at any time. Users are responsible for regularly reviewing the Terms and Conditions. By continuing to use the service after any changes, users indicate their acceptance of the new terms and conditions.

XXI. Service Modifications

BizBandhu reserves the right to modify or discontinue the service, temporarily or permanently, with or without notice to the user. The user acknowledges and agrees that BizBandhu shall not be liable for any modification or discontinuance of the service. Furthermore, the user acknowledges and agrees that BizBandhu may terminate the service without prior notice and may immediately delete data and files in the user’s account, as well as block any further access to such files or the service.

XXII. Disclaimer of Warranties and Limitation of Liability

BizBandhu recognizes the potential risk of being held responsible for the actions of its users. While we strive to provide a reliable and high-quality system, errors, system failures, and mistakes can occur. To continue offering and improving our service, BizBandhu must disclaim any warranties and limit its liability for problems related to the use of the system. Therefore, the following disclaimers apply:

(a) Disclaimer of Warranties

The user acknowledges that the use of the service is at their sole risk. The service is provided on an “as is” and “as available” basis. BizBandhu expressly disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. BizBandhu does not warrant that the service will meet the user’s requirements, be uninterrupted, timely, secure, or error-free. BizBandhu also does not guarantee the accuracy or reliability of any information obtained through the service or that defects in the software will be corrected. Any goods, services, or transactions obtained through the service are at the user’s own risk.

No advice or information obtained from BizBandhu, whether oral or written, shall create any warranty not expressly stated herein.

(b) Limitation of Liability

The user agrees that BizBandhu shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the service. This includes damages for loss of profits, use, data, or other intangibles, even if BizBandhu has been advised of the possibility of such damages. BizBandhu shall not be liable for any damages arising from the interruption, suspension, or termination of service, whether justified, negligent, intentional, or inadvertent. XXIII. Arbitration

Any controversy or claim arising from or relating to this agreement or BizBandhu services shall be settled by binding arbitration in accordance with the laws of India. Each controversy or claim shall be arbitrated on an individual basis and shall not be consolidated with any claim or controversy of any other party. Disputes of a legal nature will also be decided in accordance with the laws of India, and the courts of Chennai shall have jurisdiction in such cases.

XXIV. Ownership

BizBandhu is the owner and operator of this site. All rights, title, and interest in the materials provided on this site, including information, documents, logos, graphics, sounds, and images (the “Materials”), are owned by BizBandhu. Unless expressly provided by BizBandhu, no materials may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted, or distributed in any way. Nothing on this site confers any license under BizBandhu’s intellectual property rights unless explicitly stated. Please contact us if you have any questions regarding obtaining licenses. BizBandhu does not sell, license, lease, or provide any materials other than those specifically identified

XXV. Entire Agreement

This agreement constitutes the entire agreement between the user and BizBandhu, superseding all other communications and understandings regarding the subject matter. BizBandhu may revise these Terms and Conditions at any time without notice, and it is your responsibility to review them periodically. By using BizBandhu services or accessing the site, you acknowledge that you have read and agreed to these terms and conditions.

XXVI. Indemnification

You agree to defend, indemnify, and hold harmless BizBandhu, including its officers, directors, shareholders, employees, and agents, from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising from or connected with your access to or use of the site and the materials.

XXVII. Cancellation and Refund Policy

BizBandhu aims to provide satisfactory services at reasonable rates. However, there may be situations where a refund is desired. Refunds may be requested in the following circumstances: (1) when payment is made for services but the user decides not to avail them, (2) when there is a delay in services due to factors for which BizBandhu is solely responsible, and (3) in the unlikely event that the user finds the services unsatisfactory. Refund requests should be sent via email to the provided ticket system, with a copy sent to [email protected]. Only refunds for the professional fees component of the charges paid will be considered.

Refund requests will be reviewed by the Senior Management at BizBandhu, who will make the final decision based on the reasons provided. It should be noted that BizBandhu reserves the right to make the final and binding decision regarding refund requests. Refunds will be processed upon confirmation and may require the user to provide relevant bank account details. Please allow a minimum of 48-72 working hours for the refund processing and initiation.

BizBandhu emphasizes that refunds are limited to the professional fees paid for the services and are subject to the discretion of the Senior Management.

BizBandhu is not liable for any delays resulting from circumstances beyond its control, including national holidays, government delays, acts of war, natural disasters, technical failures, or other unforeseen events.
